Please vote NO on the "poison pill" amendment to cut the size of the PVREA Board

PVREA has proposed a "poison pill" amendment to our Articles of Incorporation allowing the incumbent Board of Directors to "reduce the minimum size of the board to seven members from 11 members."

• It is undemocratic. Membership is growing. Why reduce representation?
• It will disenfranchise PVREA members. There is no "implementing" or "transition" language, so newly elected Board members could be removed without a new election.
• It was kept secret. The agenda for the August meeting at which it was proposed announced only a "report" by the "By-Laws Committee." The minutes did not explain what was proposed. The first notice was buried in an article in Colorado Country Life without explanation. Requests for the proposed language were declined. PVREA members were able to read the proposed amendment only once they received their ballots.
• And it was kept hidden. The only important provisions are buried in several pages of innocuous red-lined technical amendments, leading many members to ignore the seriousness of the changes.
• This is a poor cost savings measure. Relative to PVREA's 2008 budget of $85 million, the savings are tiny. Implementing a strategic, aggressive energy efficiency program would be more effective.

If you've not yet voted, please do so now, please vote NO on the proposed changes to the Articles of Incorporation, and vote for Roger Alexander, Jan Peterson, and Steve Szabo. Mail your ballot no later than Monday before mail pick-up.

If you did vote, but voted "yes" on the amendments thinking they were innocuous, please attend the Annual Meeting, ask to revoke your ballot, and re-vote. Vote NO on the Articles of Incorporation, and re-vote for Roger Alexander, Jan Peterson, and Steve Szabo.

Annual Meeting Details

The PVREA Annual Meeting is Saturday, March 28. Registration is from 7:30 am to 9:45 am. The meeting will convene at 10 am and should conclude by about noon. If you will be re-voting, get there early enough (by 9 am) to leave enough time for the process.

The Annual Meeting is located at The Ranch and Budweiser Events Center, at the Larimer County Fairgrounds. From I-25, take Exit 259 (Crossroads Blvd.) east and turn north onto Fairgrounds Avenue (County Road 5) until first or second Arena Circle entrance.

Registration will be located in the West Hall of the First National Bank Building on the fairgrounds.
